These Terms and Conditions ("Terms") constitute a legally binding agreement between Adsmunch Private Limited ("Adsmunch", "Company", "we", "our", "us") and you ("User", "Advertiser", "Space Owner", "Creator", "Agent") governing the use of all Adsmunch platforms, applications, and services.

BY REGISTERING, ACCESSING, OR USING ANY ADSMUNCH SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, YOU MUST STOP USING THE PLATFORM IMMEDIATELY.

1. Scope of Services

These Terms cover the entire Adsmunch ecosystem, including but not limited to:

Mobile Applications:

  • Adsmunch TV (Display Unit App)
  • Adsmunch Advertiser App (Campaign Management)
  • Adsmunch Space Owner App (Venue Management)
  • Adsmunch Onboard App (Field Force)

Web Platforms:

  • https://adsmunch.in
  • https://creator.adsmunch.in
  • https://sales.adsmunch.in
  • https://feedback.adsmunch.in
  • https://survey.adsmunch.in

These Terms apply to all current and future Adsmunch services.

2. Eligibility

By using our platform, you confirm that:

  • You are at least 18 years of age
  • You have full legal capacity to enter a binding contract
  • You are not prohibited by Indian law from using digital services
  • If representing a company, you have authority to bind it

3. Account Security & User Obligations

3.1 One User, One Account

Multiple accounts to exploit rewards, impressions, or payouts are strictly prohibited.

3.2 Credential Responsibility

You are responsible for: Securing your password, All actions performed under your account, Prompt reporting of unauthorized access

Adsmunch is not liable for losses due to compromised accounts.

3.3 Verification Documents

When requested, you must submit accurate documents such as: PAN, GST, Aadhaar, Shop Act, or business registration.

Submitting false documents will result in: Permanent account ban, Wallet forfeiture, Legal action

4. Advertiser Terms

4.1 Strict Content Guidelines (Zero Tolerance)

THE FOLLOWING CONTENT IS STRICTLY PROHIBITED ON ADSMUNCH NETWORK:

Adult / Sexual / 18+ Content:

Pornography, Nudity or semi-nudity, Suggestive or sexual imagery, Adult dating apps, Sex toys or escort services

Illegal, Restricted, or Harmful Content:

Drugs, narcotics, tobacco, Alcohol promotions (unless fully compliant with ASCI surrogate rules), Gambling/betting apps (unless licensed in India), Get-rich-quick schemes, Misleading or unverifiable medical claims

Platform Safety:

Violence, hate speech, extremism, Political attack ads, Religious conversion attempts, Copyright-infringing content

Adsmunch reserves the right to reject ANY advertisement at our sole discretion, including borderline or sensitive content.

4.2 License to Display Ads

By uploading content, you grant Adsmunch a royalty-free, worldwide, non-exclusive license to store, reproduce, modify (compression only), and display ads across our network.

4.3 Wallet & Payments

  • Payments processed via Razorpay
  • Wallet credits are service credits
  • GST applies as per Indian law
  • Dormant/unused wallet funds for 12 months may be forfeited

4.4 Analytics Disclaimer

Impressions, QR scans, and playtime are estimates, affected by network latency, power fluctuations, and device sync variations.

Adsmunch does NOT guarantee: Performance, Sales, Engagement rates

5. Space Owner (Venue Partner) Terms

5.1 Independent Contractor

You are NOT an Adsmunch employee. You are an independent business partner. No PF, ESI, or employee benefits apply.

5.2 Operational Duties

Space Owners must: Keep the screen ON during business hours, Provide stable power & internet, Not tamper with the device or Adsmunch TV app, Maintain physical safety of the device

Adsmunch is not liable for: Hardware damage, Screen burn, Overheating, Malfunction

5.3 Earnings & Tax

Payouts depend on valid impressions and device uptime. TDS deducted under Income Tax Act. You must file your own GST/IT returns.

6. Creator Platform Terms (creator.adsmunch.in)

Creators must ensure:

  • Content is 100% original
  • No copyrighted or stolen material
  • No adult/sexual/violent/prohibited content

Adsmunch may: Remove violating content, Freeze payouts, Terminate accounts

Creators grant Adsmunch a global license to distribute their content.

7. Intellectual Property Rights

7.1 Adsmunch IP

All branding, UI, code, APIs, and algorithms are owned exclusively by Adsmunch.

You may NOT: Copy, Reverse engineer, Modify, Clone, Resell, Decompile any Adsmunch asset.

7.2 User Content Liability

Users are fully responsible for: Rights to uploaded content, Legal claims arising from their ads

Users must indemnify Adsmunch for third-party copyright or legal disputes.

8. Prohibited Conduct

Users may NOT:

  • Inflate impressions using bots, scripts, or looping
  • Tamper with APKs, logs, network calls, or screens
  • Attempt to bypass security
  • Engage in fraud
  • Harass staff or other users
  • Use the platform for illegal activities

Violation results in: Immediate termination, Wallet forfeiture, Legal prosecution

9. Refund Policy

9.1 Standard Rule

Wallet credits are non-refundable by default.

9.2 Campaign Cancellation

Unused campaign balance returns to wallet for future campaigns.

9.3 14-Day Unused Credit Refund

If 0% of added credits have been used, a refund may be requested:

  • Within 14 days
  • Subject to 5% processing fee
  • Refunded to original payment method
  • Processed within 15 business days

9.4 Fraud/Error Refund

If Adsmunch system error (duplicate charge) is verified: 100% refund issued

10. Limitation of Liability

To the maximum extent permitted by Indian law:

  • Services are provided "as-is"
  • No guarantees of uptime, performance, impressions, or earnings
  • Adsmunch is NOT liable for: Lost profits, Business interruption, Device damage, Data loss, Reputational damage, Third-party actions

TOTAL LIABILITY IS LIMITED TO AMOUNTS PAID IN THE LAST 3 MONTHS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Adsmunch from all claims arising from: Your ads or content, Misrepresentation or illegal activity, Fraud or policy violations, Tax or regulatory violations, Third-party legal disputes caused by your actions

12. Force Majeure

Adsmunch is not responsible for delays caused by:

  • Natural disasters, War, riots, terrorism
  • Power outages, ISP failures, Server outages
  • Government restrictions, Acts beyond our reasonable control

13. Dispute Resolution & Governing Law

13.1 Governing Law

These Terms are governed by the laws of India.

13.2 Arbitration

Disputes shall be resolved by arbitration under the Arbitration & Conciliation Act, 1996.

  • Seat of Arbitration: Meerut, Uttar Pradesh, India
  • Language: English

13.3 Jurisdiction

Only the courts of Meerut, Uttar Pradesh shall have jurisdiction.

14. Updates to Terms

We may update these Terms anytime. Continued use after updates = acceptance.
